Terms of Service

These Terms of Service ("Terms") are a binding agreement — a public offer — between you and Agent Nine LLP (ТОО «Agent Nine»), BIN 260740007202, 55/6-72 Turan Avenue, Nura District, Astana, Republic of Kazakhstan ("Agent Nine", "we", "us"). By creating an account or using Agent Nine ("the Service") you accept these Terms. If you do not agree, do not use the Service.

1. Definitions

• Service — the Agent Nine AI coding assistant: the desktop application and connected cloud platform.
• Account — your registered access to the Service.
• Subscription / Plan — a paid, recurring right to use the Service under a chosen plan (Standard, Pro, Ultra).
• Your Content — prompts, code, files, and instructions you submit, and responses generated for you.
• Merchant of Record (MoR) — Polar (polar.sh), which sells the Subscription to you and processes payment, billing, and taxes on our behalf.

2. Eligibility and accounts

You must be at least 16 years old and legally able to enter into these Terms. Provide accurate account information, keep your credentials secure, and remain responsible for all activity under your Account. If you use the Service for an organization, you confirm you are authorized to bind it.

3. Licence to use the Service

Subject to these Terms and payment, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal purposes during your Subscription. We reserve all rights not expressly granted.

4. Subscriptions, fees and billing

• The Service is provided by recurring monthly Subscription. Plans differ by usage quota and processing priority; current plans and prices are shown at agentnine.io. There is no free trial.
• Payment is processed by our Merchant of Record, Polar (polar.sh), which handles checkout, invoicing, and applicable taxes. Your purchase is also subject to Polar's terms.
• Subscriptions renew automatically at the start of each period until cancelled. By subscribing you authorize recurring charges to your payment method until you cancel.
• If a payment fails or is reversed, we may suspend or terminate access until it is resolved.
• We may change prices with prior notice; new prices apply from the next billing period.

5. Cancellation and refunds

You can cancel anytime; access continues until the end of the current paid period. Refunds are governed by our Refund & Cancellation Policy. In short, payments are non-refundable except for genuine billing errors and where required by law.

6. Acceptable use

You agree not to:

• use the Service unlawfully or to create unlawful, infringing, or harmful content;
• upload malware, or violate the rights, privacy, or security of others;
• resell, sublicense, rent, or provide the Service to third parties without our written consent;
• copy, decompile, or reverse-engineer the Service, except as permitted by law;
• evade quotas, rate limits, or security, or share one Account to circumvent limits;
• use the Service or its output in violation of law or of third-party (including AI provider) terms.

We may suspend or terminate Accounts that breach this section.

7. Your content

You retain ownership of Your Content. You grant us a limited licence to host and process it only to operate and provide the Service. You are responsible for Your Content and confirm you have the rights to submit it. We do not use Your Content to train our own models (see our Privacy Policy).

8. AI output

The Service uses AI models and may produce output that is inaccurate, incomplete, or similar to output for other users. Output is not professional advice. You must review and test any code or output before relying on it, and you are responsible for how you use it.

9. Third-party services

The Service integrates third parties, including Polar (payments), AI model providers, and any tools or MCP integrations you connect. Those services are governed by their own terms, and we are not responsible for them.

10. Feedback

If you send suggestions or feedback, we may use them without restriction or obligation to you.

11. Intellectual property

The Service and all related software, design, and trademarks are owned by Agent Nine LLP and protected by law. These Terms grant no rights to them except the limited licence in §3.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, including merchantability, fitness for a particular purpose, or uninterrupted or error-free operation, to the maximum extent permitted by law.

13. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total aggregate liability for any claim is limited to the amount you paid for the Service in the three months before the event giving rise to the claim.

14. Indemnification

You will defend and indemnify Agent Nine LLP against third-party claims and losses arising from your use of the Service in breach of these Terms, your Content, or your violation of law or third-party rights.

15. Suspension and termination

You may cancel at any time. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law. On termination your right to use the Service ends; sections that by their nature should survive (including §§7–8, 11–14, 17) continue.

16. Changes to the Service

We may modify, add, or discontinue features of the Service. We aim to avoid material degradation of a paid plan during a paid period.

17. Changes to these Terms

We may update these Terms; material changes will be posted at agentnine.io with a new "Last updated" date. Continued use after changes means you accept them.

18. Governing law and disputes

These Terms are governed by the law of the Republic of Kazakhstan. The parties will try to resolve disputes amicably; failing that, disputes are subject to the courts at the location of Agent Nine LLP (Astana).

19. Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control (including outages, network or provider failures, or acts of authorities) for the duration of the event.

20. General

We may update these Terms and change, add, or discontinue features of the Service, and change prices; for material changes we post an update at agentnine.io, and continued use means you accept them. We may transfer these Terms to another company if Agent Nine passes to a new owner; you may not transfer your subscription to third parties without our consent. If any provision is found invalid, the rest remains in effect. These Terms are the entire agreement between you and us about the Service, and legally significant notices are sent to the email addresses the parties provide.
